The notes will be sold to qualified institutional buyers under Rule 144A and to certain non-U.S. persons under Regulation S; they will not be registered in the United States. At the same time, the Issuer intends to amend and restate its senior secured cash-flow credit agreement to replace the revolving facility and refinance the term loan, and to amend the senior secured ABL revolving credit agreement to extend to 2031. The Refinancing Transactions depend on market conditions. New debt issuance and refinancing extend maturities and restructure leverage, likely improving liquidity but raising debt service.
