  1. Modified · REGULATORY CAPITAL-RELATED DEVELOPMENTS

On March 19, 2026, the Federal Reserve, the FDIC, and the OCC issued a series of proposed rules to revise the U.S. regulatory capital framework to finalize the post-crisis Basel III reforms. Comments were due by June 18, 2026. As a Category IV banking organization, the Company and the Bank would not be required to adopt the new expanded risk-based approach. However, if implemented as proposed, the rules would impact how the Company and the Bank calculate regulatory capital ratios. Effective dates for the revised rules were not proposed. On September 30, 2026, the Federal Reserve adopted revisions to its stress testing rules effective in 2027 that for a Category IV banking organization, such as Pinnacle, will open the stress test models to public comment and delay revisions to the stress capital buffer to be effective January 1 of the following year rather than October 1 of the current year following receipt of test results. The Company and the Bank will continue to monitor for developments and consider impacts on capital planning.
