What management said on the call
On the second-quarter call, CEO David Zalman said Prosperity’s priority was integrating its three acquired banks. He said the Houston-based acquisition closed on July 1, 2026. Zalman said second-quarter results did not include a contribution from that bank, and that Prosperity’s loan and deposit increases from a year earlier were primarily due to the other two mergers.
Discussing lending demand, Chairman Tim Timanus said he expected stability and saw loan activity in the market. He also said competitors’ loan pricing and structures were a hindrance. Zalman said Prosperity was considering profitability as well as loan growth, particularly when larger loans came without substantial customer deposits. He said the bank would continue to put funds into bonds when it did not deploy them in loans.
CFO Asylbek Osmonov said the Houston acquisition supported the net interest margin outlook. Zalman said Prosperity might raise money market account rates after reaching its margin goal, which could temper the margin as it sought more organic growth.
For the third quarter, Osmonov said Prosperity expected noninterest expense of $244.0 million to $250.0 million, including the acquired Houston bank’s operations but excluding its one-time merger expenses. He said the bank’s system conversion was scheduled for March 2027 and could push back the timing of its projected cost savings.
On deposits, Zalman said acquired banks sometimes lost customers who had received higher rates or did not want to be part of a transaction. Osmonov said preliminary acquired-loan marks were somewhat higher than projected but had not been finalized.
Guidance
CFO Asylbek Osmonov said Prosperity expects its fourth-quarter net interest margin to be flat to modestly higher. On the first-quarter call, he had projected an approximately 3.70% combined margin at the end of FY2026.
