What it says
Ingersoll Rand reported that Michael Weatherred retired effective October 27, 2026, and will serve as an adviser through May 2028. Effective October 27, Scott Watson and Shaun Carlson were appointed group presidents of Industrial Technologies and Services North America and EMEIA, and Precision and Science Technologies, respectively. The company also amended CEO Vicente Reynal’s employment agreement and approved a performance-based equity award.
-
Reynal is expected to receive 226,098 PSUs valued at approximately $17.1 million. Vesting depends on Adjusted EPS growth from 2027 through 2031, continued employment and an ROIC modifier.
For the PSUs to fully vest, the Company must achieve a five-year compounded annual growth rate (“CAGR”) in respect of Adjusted EPS (as defined below) of 10%, subject to adjustment pursuant to an annual ROIC modifier as described below.
-
For fiscal years 2027 through 2031, Reynal is also eligible for annual stock option grants based on Adjusted EPS growth. Options cliff vest on the fifth anniversary of grant, subject to continued employment and specified exceptions.
stock options to purchase 100,000 shares of Common Stock for any such fiscal year where the Company’s Adjusted EPS growth is equal to or greater than 10% over the Company’s Adjusted EPS for the prior fiscal year
-
The employment agreement extends Reynal’s initial term to February 29, 2032, raises his base salary to $1,200,000 and retains a target bonus of 150% of base salary.
extends the end date of the initial term from September 1, 2027 to February 29, 2032 (with automatic one-year renewals), increases annual base salary from $1,100,000 to $1,200,000
-
The agreement adds a prorated performance-based bonus to specified severance entitlements and increases salary-based severance for qualifying terminations around a change in control. It also permits personal aircraft use subject to a $400,000 annual incremental-cost limit.
solely if such termination occurs during the period beginning six months prior to a change in control and ending two years thereafter, Mr. Reynal’s severance will be equal to 1.5x his base salary (instead of 1x)
