What it says

On October 27, 2026, Markel subsidiaries agreed to an adverse development cover with Enstar subsidiary Cavello Bay Reinsurance Limited, covering $4.8 billion of net reserves in run-off reinsurance and certain exited insurance lines. Markel retains $2.6 billion; the agreement covers $2.3 billion of reserves and $1.2 billion of adverse development. Closing is expected by the end of the fourth quarter of 2026, subject to regulatory approval and other conditions.

  • Coverage applies to losses paid on or after April 1, 2026; subject reserves include 2025 and prior underwriting years.

the Reinsurer will reinsure, on an indemnity basis, 100% of covered losses paid by the Ceding Companies on or after April 1, 2026 (the Effective Date) in respect of the Subject Business exceeding an aggregate retention of $2.6 billion — the 8-K
  • The ceding companies will pay a $2.4 billion reinsurance premium. Of the transferred assets, $500 million will go to the reinsurer outright and the balance into a trust; the ceding companies retain claims control.

$500 million of the Transferred Assets will be transferred to the Reinsurer outright and the balance will be deposited into a trust account for the benefit of the Ceding Companies to secure the Reinsurer’s obligations — the 8-K
  • The release also describes a $120 million risk premium.

Markel will obtain adverse loss development coverage of $1.2 billion above the $4.8 billion of subject reserves under the transaction terms and pay Enstar a risk premium of $120 million. — the exhibit filed with it
  • Markel expects the transaction’s net impact on fourth-quarter underwriting results to be immaterial.

therefore, Markel expects the net impacts of the transaction to have an immaterial impact on underwriting results in the fourth quarter. — the exhibit filed with it
