What it says
On October 27, 2026, MGM Resorts amended its April 3, 2026 voting agreement with People Incorporated and Barry Diller. The amendment followed People’s withdrawal of its proposal to acquire MGM Resorts. The company said the agreement does not obligate either party to pursue a transaction and none is contemplated.
-
People, Diller and their controlled affiliates agreed not to acquire securities that would raise their aggregate beneficial ownership above 29.9%. Increases from MGM’s own acquisitions are permitted if they make no further acquisitions while above that threshold.
an increase above that threshold resulting from the Company’s own repurchases, redemptions or other acquisitions of its securities will not constitute a breach
-
For stockholder votes other than on a change of control, the covered entities must vote securities above 25.73% of voting power with the majority, excluding votes held by the covered entities and MGM’s directors, executives and their controlled affiliates.
the Covered Entities will vote any voting securities they beneficially own in excess of 25.73% of the total voting power
-
For a change of control vote, the covered entities must vote all their securities as the board recommends if specified conditions are met. If any condition is unmet, their voting is unrestricted.
the Covered Entities will vote all voting securities they beneficially own in accordance with the recommendation of the Company’s Board of Directors
-
While the covered entities comply with the agreement, MGM agreed not to take defensive measures primarily intended to harm them or known to be disproportionately adverse to them. The restriction has specified exceptions.
the Company agreed not to implement any stockholder rights plan or other defensive measure or action
